Role Description

This part-time / contract Senior Corporate Counsel role is fully remote, offering flexibility while maintaining a senior-level Puesto. Responsibilities include delivering sophisticated counsel on corporate law matters such as entity formation, venture capital financing, mergers and acquisitions, and drafting and negotiating contracts. You will work directly with tech clients, helping them navigate complex legal and regulatory environments, aligning strategies with their business goals. Additionally, you will leverage technology-driven workflows to provide efficient and high-quality legal services.

This role would initially be a contract Puesto and would be part time, but with the intention of moving to full time in the newr future.

US ADMISSION REQUIREMENTS: admission to a US state bar is highlyndesireable. We are open to foreign associates without US admission, who will work under the supervision of US attorneys as foreign law clerks / associates.

Qualifications

• Expertise in corporate law, including experience with entity formation, fundraising, mergers and acquisitions, and general commercial legal matters.
• Strong skills in contract drafting, reviewing, and negotiating agreements in a business or technology context.
• Native or near native English level required
• Ability to assess legal risks, provide strategic advice, and balance compliance with business growth.
• Familiarity with technology-enabled legal tools and workflows to enhance service delivery and efficiency.
• Proven track record of working successfully in a client-facing or in-house legal role, preferably with tech-focused clients.
• Exceptional communication and interpersonal skills, ensuring clarity and collaboration with clients and team members.
• HIGHLY DESIREABLE: Juris Doctor (JD) degree and active license to practice law in at least one U.S. jurisdiction and / or US law firm experience

• Experience in the technology or startup ecosystem is a strong plus.
